TERMS OF USE

1. Agreement to Terms

These Terms of Use ("Terms") form a legally binding agreement between you ("you," "your," or "user") and Gabriel Souza Calixto e Gilberto Galvão Scheiffer Júnior, doing business as AudiMoon ("AudiMoon," "we," "us," or "our"), governing your access to and use of the AudiMoon mobile application and any related services (collectively, the "Services").

By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Services. By using the Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

3. The Service

AudiMoon is an audio storytelling application that provides narrated fiction and other audio content ("Content") for personal, non-commercial listening. Some Content and features are available only to paying subscribers, as described below.

4. Accounts

To access certain features you may need to create an account, including by using a third-party login (such as Apple, Google, or Facebook). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. You may delete your account at any time from within the app.

5. Subscriptions, Billing, and Free Trials

AudiMoon offers auto-renewable subscriptions ("Premium") that unlock additional Content and features. The available plans, prices, and any free-trial terms are displayed in the app at the time of purchase.

• Billing. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
• Auto-renewal. Subscriptions automatically renew for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
• Free trial. If a free trial is offered, you will not be charged if you cancel before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
• Managing and cancelling. You can manage or cancel your subscription in your Apple App Store or Google Play account settings after purchase.
• Refunds. Purchases are handled by Apple or Google. Refund requests are subject to their respective policies; we do not process payments or issue refunds directly.

6. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Services on a device that you own or control, for your personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of the Services or any Content, except as permitted by law.

7. Intellectual Property

The Services and all Content, including audio, text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

8. User Content and Conduct

The Services may allow you to post content such as comments ("User Content"). You retain ownership of your User Content but grant us a worldwide, royalty-free license to host, display, reproduce, and moderate it in connection with operating the Services. You are solely responsible for your User Content and represent that you have the rights to post it.

You agree not to:

• Post unlawful, harassing, hateful, defamatory, sexually explicit, or infringing content;
• Impersonate any person or misrepresent your affiliation;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services;
• Use the Services for any commercial purpose without our written consent.

We may remove any User Content and suspend or terminate accounts that violate these Terms, at our discretion.

9. Third-Party Services and Advertising

The Services rely on third-party services (including Apple, Google, RevenueCat, and advertising providers). The free version of the Services may display advertisements. Your use of third-party services is subject to their own terms and privacy policies, and we are not responsible for them.

10. Disclaimers

THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUDIMOON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AudiMoon from any claims, damages, liabilities, and expenses arising out of your use of the Services, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Upon termination, the licenses granted to you will end. Sections that by their nature should survive termination will survive.

14. Apple App Store — Additional Terms

The following applies if you download the app from the Apple App Store:

• These Terms are between you and AudiMoon only, not with Apple. Apple is not responsible for the Services or their content.
• The license granted is limited to use of the app on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the app. Any maintenance and support is our responsibility.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability, legal or regulatory non-compliance, or consumer protection claims.
• If a third party claims the app infringes its intellectual property, AudiMoon, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law principles, except where mandatory consumer-protection laws of your country of residence apply.
